Well , on my birthday , May 20th , I'm getting Rockman EXE 4.5 for my birthday
I love the Navi StarMan >w< , but , as most of you know, you cant get him without the chip X(
Ive checked Ebay and Amazon.com , and I Cant find any and I NNNEEEEEEEEEDDDDD it.
Please help me or tell me what to do! Im stuck! :'(

That is indeed quite a pain. The best Navis were restricted to the use of chips. I didn't bother buying it mainly because of that. :\

Are you getting the game with the Battle Chip Gate Pack (http://www.rockmanpm.com/i/rockmancollection/gba_rockmanexe45realoperation.jpg)? Starman is packed with it. ^^
The only other way to get the Navi is with cheat codes. o.o;;

Back in the day, I remember people screwing around with the chip's pins allowed them to transform one chip into another. This is pretty extreme and I have no idea if they ever make it work to recreate a StarMan chip

Ah yes, I was one of those. Very fun little hobby, I still remember how to do it too ;)
Anyway, we never got around to figuring out the 4.5 Navi chip pins, there was something unusual about them that made it incredibly difficult to "hack."

There's always R4 GBA, you can find data for Starman and a RMEXE 4.5 ROM data so you can do that, alternitavely... But you need R4 first. I think there's a savestate with Starman data unlocked that you can use for 4.5.
Yes, I am suggesting an alternative way to do it besides ordering from Toywiz and Toys n' Joys (just search Rockman with thier respective search engines).

Well, R4 was legal until courts banned it sometime ago due to ROM activity (it was origionally a homebrew cart).

You should see if you can find the Battle Chip Gate Rockman version too.
But maybe you like red more, so go for the Blues version.
There are usually Japanese Yahoo Auctions that sell battle chips.
Starman is sometimes one of them.

You bid on an item and hope you win it.
But if you don't live in Japan, you have to register to some special services that help you bid for these items, like Rinkya (http://www.rinkya.com/) or Japan Auction Center (http://www.japanauctioncenter.com). These services will bid on the items for you, with a little extra cost though. Rinkya accept credit cards and JAC accepts paypal. o.o;

Well, I wish you luck in actually getting your merchandise from Toys N Joys, as they aren't the most reputable online store in the world. As it is, I'm on my second month waiting for items from them and have had pretty cruddy customer service, as many before me have attested. I guarantee you will be waiting much past your birthday to actually see it arrive, 3 weeks at the earliest. :\
As far as finding a Starman chip, your best bet is to email FlashMan (http://flashmanexe.networkapproach.com/). He's the resident chip seller in the community. Granted you say your parents will only buy from a company, but he is a trusted dealer in Rockman merchandise and an eBay seller with a great reputation. If they're willing to buy from eBay for you, I would assume they might OK buying it from him. And then you don't have to deal with overseas auctions.
As coincidence and luck would have it, I just bought the alternate green StarMan Navi Data chip from him a couple days ago to officially complete my Advanced Navi Data set. And I know from asking about his inventory that he does have the regular yellow one in stock, the version Vixy showed you that comes in the box set. Assuming he hasn't sold it to anyone else yet, I think I'm safe to assume it would set you back between $7-15. If you are determined to get Starry, it's your best and fastest option available. Just be sure to politely inquire about what you are looking for (if you really want to get specific, it's Advanced ND Chip #326) and he'll get back to you with his pricing quote.
